Terms of Service

These Terms of Service ("Terms") constitute a binding agreement between you and Kellexa Technologies Pvt. Ltd. ("Kellexa") governing access to https://kellexa.com, https://app.kellexa.com, and related services (the "Services"). By creating an account, accessing, or using the Services, you agree to these Terms, our Privacy Policy, Acceptable Use Policy, and other policies referenced herein.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to the organization.

• You must be at least 18 years old (or the age of majority in your jurisdiction).
• You must have the legal capacity to enter a binding contract.
• You must not be barred from using the Services under applicable law or platform policies.
• Use for commercial creator, agency, or business purposes must comply with connected platform terms (YouTube, Meta).

You are responsible for maintaining the confidentiality of credentials and for all activity under your account. Notify us immediately at info@kellexa.com of unauthorized access. We may suspend accounts that violate these Terms or pose security risk.

Kellexa provides a software platform for visual workflow automation: connecting data sources, AI and media processing steps, and publishing to social platforms. Features, limits, and availability may change. Beta or preview features are provided "as is" without SLA guarantees unless separately agreed in writing.

• Paid plans and credit packs are billed in advance per the pricing shown at checkout (USD, INR, or other supported currencies).
• Credits are consumed per workflow node execution as published in-app; unused monthly plan credits may not roll over unless stated on the pricing page.
• Taxes, payment processor fees, and currency conversion may apply.
• Refunds are governed by our Refund & Cancellation Policy.
• We may change pricing with notice; changes apply to renewals after the notice period.

You retain ownership of content you upload, configure in workflows, or publish through the Services ("User Content"). You grant Kellexa a worldwide, non-exclusive license to host, process, transmit, and display User Content solely to provide and improve the Services, comply with law, and enforce these Terms.

You represent that you have all rights necessary for User Content and that publishing via connected accounts will not infringe third-party rights or violate platform policies.

Integrations with YouTube, Instagram, payment processors, and AI providers are subject to their separate terms. Kellexa is not responsible for platform outages, API changes, account bans, or content moderation decisions by third parties. You must comply with YouTube Terms of Service, Community Guidelines, Meta Terms, and Instagram Platform Policy.

You agree not to misuse the Services. Prohibited conduct is detailed in our Acceptable Use Policy and includes illegal activity, malware, spam, copyright infringement, circumvention of rate limits, and unauthorized access to systems.

The Services, including software, design, trademarks, and documentation, are owned by Kellexa or licensors and protected by intellectual property laws. Except for the limited license to use the Services, no rights are granted. You may not reverse engineer, copy, or create derivative works except as permitted by law.

If you provide suggestions or feedback, you grant Kellexa a perpetual, irrevocable, royalty-free license to use them without obligation to you.

• You may close your account at any time via Settings or by contacting support.
• We may suspend or terminate access for breach of Terms, non-payment, fraud, legal requirement, or risk to the Services or third parties.
• Upon termination, your right to use the Services ceases. Provisions that by nature should survive (payment obligations, disclaimers, limitations, dispute resolution) survive.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION OR THAT WORKFLOWS WILL ACHIEVE SPECIFIC BUSINESS RESULTS, VIEWS, OR REVENUE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KELLEXA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY. OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM OR RELATED TO THE SERVICES IN ANY 12-MONTH PERIOD SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO KELLEXA IN THAT PERIOD OR (B) USD $100, EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.

You will defend, indemnify, and hold harmless Kellexa from claims, damages, and expenses (including reasonable attorneys' fees) arising from your User Content, use of the Services, violation of these Terms, or violation of third-party rights or platform policies.

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts in Bengaluru, Karnataka, India shall have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court. Where permitted, disputes may be resolved by binding arbitration under [arbitration rules — specify before launch] seated in Bengaluru, Karnataka, India.

EU consumers may retain mandatory rights under local consumer protection law. Nothing in these Terms limits rights that cannot be waived by contract.

We may modify these Terms by posting an updated version and updating the "Last updated" date. Material changes will be notified via email or in-app notice at least 30 days before effective date where required. Continued use constitutes acceptance.
